1. Acceptance of Terms
By accessing or using Denselay's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services. These Terms apply to all users, including visitors, registered users, and paying customers.
2. Description of Services
Denselay provides developer tools for continuous integration and delivery, including but not limited to test suite distribution ("Test Splitter") and AI-powered regression detection ("QA Agent"). Services are provided on a subscription basis with varying tiers and usage limits.
3. Accounts
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials, API keys, and secrets.
- You must promptly notify us of any unauthorized use of your account.
- One person or entity may maintain multiple team accounts, but each team account must represent a distinct organizational unit.
4. Subscriptions and Payment
- Paid plans are billed in advance on a monthly or annual basis.
- Usage-based charges (e.g., excess CI minutes) are billed in arrears.
- All fees are non-refundable unless otherwise stated.
- We reserve the right to change pricing with 30 days' notice.
- Failure to pay may result in suspension or termination of your account.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose.
- Attempt to gain unauthorized access to our systems or other users' accounts.
- Interfere with or disrupt the Services or infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Services.
- Resell or redistribute the Services without our written consent.
- Exceed reasonable usage patterns that degrade service quality for other users.
6. Data and Privacy
Your use of the Services is also governed by our Privacy Policy. You retain ownership of your data. We process your data solely to provide and improve the Services.
7. Intellectual Property
The Services, including all software, documentation, and branding, are owned by Denselay and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors outside our control.
9. Limitation of Liability
To the maximum extent permitted by law, Denselay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from these Terms shall not exceed the amount paid by you to Denselay in the 12 months preceding the claim.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Termination
Either party may terminate these Terms at any time. You may cancel your account through the dashboard or by contacting us. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Services ceases immediately.
12. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or a notice on our website at least 30 days before they take effect. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
